  1. Grant of Rights & Permitted Use
  • Scope of License: The artist grants the advertiser a limited, non-exclusive, worldwide license to display the artwork specifically in the agreed-upon advertising campaign.
  • Media Channels: The artwork may only be used in the specified media (e.g., print, digital, television, out-of-home billboards). Any additional usage requires renegotiation.
  • Duration: The display rights are strictly limited to the agreed campaign period.
  1. Alterations & Modifications
  • Original Integrity: The advertiser must display the artwork in its original form.
  • Prior Approval: Cropping, color correction, or altering the artwork to fit advertising layouts requires the artist's prior written consent.
  • Copyright Retention: The artist retains all copyrights and ownership of the original artwork. The agreement grants only a temporary license to display.
  • Integrity Protection: The advertiser agrees not to use the artwork in any way that defames the artist or misrepresents the original intent of the piece.
  1. Moral Rights & Ownership
  • Artist Byline: The advertiser must provide a clear credit line (e.g., "Artwork by [Artist Name]") in all reasonable formats and locations where the advertisement appears.
  • Social Media Tags: For digital campaigns, the advertiser should tag the artist's official social media handles in captions and posts.
  • Usage Extensions: If the advertiser wishes to extend the campaign beyond the agreed timeframe, a renewal fee must be negotiated prior to the end date.

4. Compensation & Payment. Moral Rights & Ownership

  • Copyright Retention: The artist retains all copyrights and ownership of the original artwork. The agreement grants only a temporary license to display.
  • Integrity Protection: The advertiser agrees not to use the artwork in any way that defames the artist or misrepresents the original intent of the piece.
6. Termination & Cancellation
  • Breach of Contract: If either party fails to uphold the terms of this agreement, the other party may terminate the contract with written notice.
  • Campaign Cancellation: If the advertiser cancels the campaign before the artwork is displayed, the artist retains any non-refundable deposits or kill fees as compensation for lost opportunities. (kill fee is a full payment refund)

  1. Usage Extensions: If the advertiser wishes to extend the campaign beyond the agreed timeframe, a renewal fee must be negotiated prior to the end date.
